Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by LocalPipe ("Company", "we", "us", or "our"), located at 523 48th Avenue SW, Calgary, AB, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

2. Description of Service

LocalPipe provides a data enrichment platform (the "Service").

• Core Function: Users submit lists of local businesses (the "Input Data"). LocalPipe processes this data to append or "enrich" it with publicly available or licensed contact information, such as business owner names, mobile phone numbers, and email addresses (the "Enriched Data").
• Service Limitation: LocalPipe does not perform lead sourcing, scraping of Google Maps, or initial data collection on behalf of the User. The User is solely responsible for sourcing and providing the initial Input Data.

3. User Accounts and Security

To access the Service, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. User Obligations and Warranties

By using the Service, you represent and warrant that:

1. Lawful Origin: You have obtained the Input Data legally and in compliance with all applicable terms of service of the source (e.g., Google Maps Terms of Service).
2. Rights to Process: You have the necessary rights to share the Input Data with LocalPipe for processing.
3. Compliance with CASL: You acknowledge that the Enriched Data includes contact information. You agree to use this data in strict compliance with Canada's Anti-Spam Legislation (CASL), the US CAN-SPAM Act, and other applicable marketing laws. You bear the sole burden of establishing consent (express or implied) before contacting individuals on the lists provided by LocalPipe.

5. Prohibited Uses

You agree not to use the Service to:

• Upload data obtained through unauthorized scraping, strictly prohibited by the source platform's Terms of Service.
• Use Enriched Data to harass, threaten, or defraud individuals.
• Resell the Enriched Data as a standalone raw data product without our express written permission.

6. Data Accuracy and Availability

LocalPipe strives to provide accurate Enriched Data using third-party sources and proprietary algorithms. However:

• No Guarantee: We do not guarantee a 100% match rate or that all data points (names, emails, mobiles) will be accurate or current. Data is provided "AS IS."
• No Refunds for Low Match Rates: Services are rendered based on the processing of data, not solely on the outcome of the enrichment.

7. Fees and Payments

Services are billed according to the pricing tier selected at checkout. All fees are non-refundable except as expressly provided in these Terms. Failure to pay may result in immediate suspension of services.

8. Intellectual Property

• Our IP: LocalPipe retains all rights, title, and interest in the Service, including our matching algorithms, website, and branding.
• Your Data: You retain ownership of the Input Data you upload. You grant LocalPipe a license to process, copy, and store this data solely for the purpose of providing the Service to you.

9. Confidentiality

LocalPipe treats your Input Data and the resulting Enriched Data as confidential. We will not share, sell, or disclose your specific lists to other clients or third parties, except as required by law or to third-party data providers specifically for the purpose of enrichment.

10. Limitation of Liability

To the maximum extent permitted by applicable law (including Alberta law):

• LocalPipe shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data.
• LocalPipe is not liable for any legal actions taken against the User resulting from the User's use of the Enriched Data (e.g., CASL fines or privacy complaints).
• Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to LocalPipe in the last six (6) months.

11. Indemnification

You agree to indemnify, defend, and hold harmless LocalPipe, its owner (Dylan Bond), and affiliates from any claims, liabilities, damages, and expenses (including legal fees) arising out of:

• Your violation of these Terms.
• Your violation of any third-party rights (including Google Maps or other data sources).
• Your violation of privacy laws or anti-spam laws (CASL/CAN-SPAM) via your use of the Enriched Data.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of Alberta and the laws of Canada applicable therein. Any disputes shall be resolved in the courts located in Calgary, Alberta.
